<p><strong>Amazon Web Services, Inc. (“AWS”) will send you an invoice for your order after the event.</strong> You will pay the invoice on the due date specified in the invoice. If you do not pay the invoice by its due date, you may (at AWS’s sole discretion) forfeit some or all of the benefits under Sponsorship Order Form(s) you have signed with AWS.</p>
<p>TAX</p>
<p>Each party will be responsible, as required under applicable law, for identifying and paying all taxes and other governmental fees and charges (and any penalties, interest, and other additions thereto) that are imposed on that party upon or with respect to the transactions and payments under this agreement. All fees payable by you are exclusive of applicable taxes and duties, including, without limitation, VAT, excise taxes, sales and transaction taxes, and gross receipts taxes (“Indirect Taxes”). You will provide such information to AWS as reasonably required to determine whether AWS is obligated to collect Indirect Taxes from you. AWS shall not collect, and you shall not pay, any such Indirect Tax or duty for which you furnish AWS a properly completed exemption certificate or a direct payment permit certificate or for which AWS may claim an available exemption from Indirect Tax.</p>

<p><strong>DISCOUNTS</strong></p>
<p>Early order discounts are available to all Exhibitors who place their orders prior to the discount deadline shown on the order form.</p>

<p>CANCELLATION POLICY</p>

<li>Orders cancelled prior to move in will not be invoiced, unless specified. Cancellations after move in begins are invoiced at 100% of original price.<br /> · No adjustments will be made after the close of the show.</li>

<p><strong>BOOTH FURNISHINGS AND SERVICES</strong><br /> · Rental items not ordered, yet found in booths, are invoiced at "Standard-Floor" pricing.<br /> · All prices are in U.S. dollars ($).<br /> · All rental items are subject to applicable taxes.<br /> · All rental items remain the property of Willwork and must be returned to Willwork at the end of the event.<br /> <br /> <strong>MATERIAL HANDLING AND LABOR</strong><strong><br /> </strong>Exhibitors are required to follow local labor jurisdictions. Most trade show labor is unionized and, therefore, Willwork is required to go through the local unions for labor used for show set up and dismantle.<br /> <br /> Drayage, or material handling, is the movement of show materials from the shipping dock to your booth for show set up and from your booth back to the dock for return shipment at the end of the show.</p>

<p><strong>PAYMENT POLICIES</strong></p>
<p>A credit card must be on file with Willwork prior to move in to cover any additional charges incurred at show site. Orders will not be processed without this information.<br />Early order discounts are available to all Exhibitors who place their orders prior to the discount deadline shown on the order form.</p>

Cancellations after move in begins are invoiced at 100% of original price.<br /> No adjustments will be made after the close of the show.<br /><br />ALL ACCOUNTS MUST BE SETTLED AT OUR SERVICE DESK PRIOR TO THE CLOSE OF THE SHOW. An Invoice will be prepared at the show for signature and payment. For your convenience, in addition to cash or company check (no personal checks), we accept MasterCard, Visa, and American Express. At the close of the show, Exhibitor freight will not be released for shipment until all unpaid invoices have been settled at the Willwork Service Desk. Please notify your company representative who will be at show site of our payment policy.<br /><br />IMPORTANT: TO OBTAIN THE DISCOUNT PRICING, FULL PAYMENT MUST BE INCLUDED WITH YOUR ORDER.<br />A purchase order is not considered payment. If your company has any unpaid balances for previous services, payment in full will be required before new orders will be or can be accepted.<br />The exhibiting firm is ultimately responsible for payment of all costs incurred on its behalf. <p>Information collected may be used in connection with or for purposes of providing services to you, your business, and to others, improving services provided to you, your business, or to others, providing notices to you, complying with applicable law, and any other lawful purpose, including protecting the health or safety of you or others, and monitoring and preventing fraudulent or unlawful third-party activity.</p>
<p><strong><span style="text-decoration: underline;">Commercial Use of Information</span></strong></p>
<p>Willwork Global Event Services will not sell or share the Information with third parties for any commercial purposes without your consent and express agreement. Willwork Global Event Services may, however, use the Information in order to share generic, collective, group, or other non-identifying information about the use of Willwork Global Event Services’s products and services as part of commercial transactions with third parties to help Willwork Global Event Services improve its products and services or for any other lawful purpose.</p>
<p><strong><span style="text-decoration: underline;">Third-Party Service Providers</span></strong></p>
<p>Willwork Global Event Services may use third-party service providers and vendors to assist Willwork Global Event Services in providing its products and services to you and others, including, without limitation, services to host Willwork Global Event Services’s Software Services, Storefronts, payment processes, and other services pursuant to the Agreement. Willwork Global Event Services may also use third-party service providers and vendors to store Information and other data. Any such third parties would have access to your Information for the limited purpose of assisting, as reasonably necessary, Willwork Global Event Services in providing Software Services and other services pursuant to the Agreement.</p>
<p>Willwork Global Event Services may disclose your Information as Willwork Global Event Services reasonably believes is required by court order, governmental directive, or other law, to protect the rights of Willwork Global Event Services, or as otherwise allowed pursuant to the Agreement or applicable law.</p>
<p><strong><span style="text-decoration: underline;">Information Protection</span></strong></p>
<p>Willwork Global Event Services will retain, protect, and process the Information and underlying or related data using commercially reasonable practices. Although Willwork Global Event Services will undertake such efforts to preserve and protect the integrity of the Information, you acknowledge and agree that all security measures have potential risks.</p>
<p><strong><span style="text-decoration: underline;">Customer Control of Collected Data</span></strong></p>
<p>You may decline to provide or submit Information to us, however, some of our Software Services, Storefronts, or other services may not be available to you if you choose not to provide or submit Information. You also have a right to access the Information that we hold (about you) upon reasonable written request.</p>
<p><strong><span style="text-decoration: underline;">Updates to our Policy</span></strong></p>
<p>By entering into the Agreement or the Acknowledgment or by using our products or services, you consent to the collection and use of your Information by us consistent with this Policy and the Agreement. We may change this Policy from time to time, for any reason. Any such changes become effective when posted.</p>
<p>To the extent that this Policy is inconsistent with applicable law, it is the intent of Willwork Global Event Services to comply with applicable law. If there is any conflict between any provision of this Policy and applicable law, such applicable law shall prevail; provided, however, that any such conflicting provision in this Policy shall be curtailed and limited only to the extent necessary to bring it within the legal requirements and the remainder of this Policy shall not be affected thereby.</p>
